Contract with Members

Welcome to Planet!

The present contract (“Contract”) defines your rights and your responsibilities regarding the use of Planet’s website, App, and services, and describes what we can offer you as a member registered by and on Planet (“Members“).

By clicking “I accept” or otherwise indicating your consent, you unequivocally manifest the free, specific, informed intention to accept the present conditions of the service. For the reasons explained, please read this binding document carefully.

Planet is a private platform designed for the Smart City; our intent is that wherever Planet is used, it can help improve the quality of life in the Smart City. We will use “Planet” here to refer to the Planet’s iOS and Android apps (also referred to as our “Services”) through which you access the platform. We will also use “Planet”, “we”, “us” and “our” to refer to the companies that operate our Services.

Eligibility. Each person has only one account per residence and you will not be able to share your account password with anyone else (not even with the members of your family you live with) or allow others to use your personal account. Some special accounts (such as Community Managers) can allow multiple representatives of the same business or organization to use their account password to use it in the exercise of their official functions.

When you register on Planet you must use your real name, not a pseudonym, except for the cases in which Planet decides to assign roles to the user, (eg community manager etc…) that identify the person but do not reveal their full name.

If you are under 16 (or any other age in the country where you live for social media use), do not use our services and / or provide us with any information.

The perpetrators of sexual or racial crimes and their homes cannot have an account on Planet. Planet also reserves the right to refuse registration to any person or home and to suspend, cancel or disable your account or limit your privileges, without any liability to you, if a criminal conviction occurs.

We do our best to enforce these eligibility requirements, but please do not assume these processes are perfect. Therefore, any anomaly that you should find you can report it through our Service Center.

Check. We do not accept that you provide inaccurate registration information or register yourself while knowing that you do not meet our eligibility requirements. Providing false registration information is a violation of this Contract and may constitute a crime.

Types of accounts. Planet offers personal accounts to individual resident members and special functional accounts restricted to public administrations, such as municipal offices, police departments or fire brigades, businesses, non-profit organizations, journalistic media, and other organizations. Special accounts are subject to additional terms and can only view certain conversations. Special accounts cannot access private messages that do not involve them. Please note that not all types of accounts and not all features of Planet are available everywhere.

Preferences. As a default setting, you will receive notifications from Planet for Planet member posts in your local area and for public administration posts. You can also choose to join different interests for which you will then receive notifications.

Privacy. We know that you do not want to receive spam or marketing calls from third parties, so we will never sell or grant your contact information to third parties, and we will not share it with third parties unless we get your permission or unless these subjects do act on our behalf in order to provide a specific part of our Services. In the same way, it is never allowed that you provide to third parties the information regarding the other Adherents obtained through Planet. The Services, cannot be provided and the Contract cannot be fulfilled without Planet processing your data, or the data of other users and visitors. Content. You retain all property rights in messages, photos, videos, responses and other content you send to Planet. You authorize us, through a non-exclusive global license, to use, copy and publish your Content on the basis of your Planet settings and the choices made when posted. If you share another person’s contact information with us, for example, to allow us to invite that person on your behalf to Planet, you confirm that you have obtained consent from him/her to share their contact information with us, if requested by applicable law, and that person has given us permission to contact them.

Rules of good membership. In Planet we believe that the good behavior of members is the foundation of a serene community. This means not providing Content that you do not have the right to publish or that is defamatory, harmful, illegal or otherwise unlawful. We will not monitor or proactively review the Content posted by members; in any case, we may remove Content posted by you, suspend, cancel or disable your account or limit its privileges, or otherwise refuse the service, in the event that you violate this Contract or other rules or violate intellectual property rights, or anyway you behave in a way that we think is harmful to the neighborhood.

Respect the privacy of members. We believe that providing other members with a place where they can communicate privately with each other can help them build a stronger community. This is why we limit the subjects who can access your neighborhood. To ensure that the privacy expectations of members are met, you will not be able to:

share or post or provide in any way to third parties private information of a neighbor or a Member, for example, name, address, telephone number, e-mail address, without his/her permission;
use any information relating a neighbor or a Member for purposes that are not allowed by the Contract; as a consequence, you can use said information exclusively for communication purposes between Members, within the Planet platform;
collect or aggregate information from Planet, either manually or through automated tools (such as scripts, robots, crawlers, spiders or similar technologies), in order to use them outside of Planet.

Transactions with other members. In the use of Planet and the functionality of transactions between members (i.e. For Sale, or Free), you, and not Planet, are responsible for your decisions and actions. Your use of functions does not qualify us as an employer, recruitment agency, representative or agent, or on your behalf or other neighbors or service providers. If you and another member decide to work together, you two, and not Planet, are responsible for respecting any applicable legislation, such as tax or employment law. Planet is not a party in transactions or disputes between members. If you write a suggestion or other comment about a neighbor or his business (for example, the suggestion of a tutor), be truthful, fair and friendly in your comments, and do not post any of their personal information (for example, address, mobile phone number or photo) without their permission.

Feedback. You may share with us any feedback, suggestion or idea you may have about Planet, provided you are aware that we may already have had the same idea, and accept that we are free to use any feedback you have provided voluntarily without any restriction or obligation (payment or other) to you.

SOS communications. If you use our service, consider that communications by message are in no way considered as a substitute for any telephone service, such as a traditional landline or mobile phone, which could be used to contact emergency services. Planet does not charge any fees for sending text messages, but your manager may. Communications sent via SMS may not be delivered if your phone is not within the radius of a transmission site, or if there is not enough network coverage at a specific time; furthermore, within a coverage area, there are factors, beyond the control of the user’s wireless manager, that could interfere with message delivery, including equipment, terrain, proximity to buildings, foliage and weather conditions. Recognize that some urgent communications may not be received in time and that your wireless carrier does not guarantee that communications will be delivered.

Groups. We believe that there is value in supporting a community already active in the area and to introduce that community also to Planet’s members. Therefore, entering a group that allows you to interact directly with the members involves the respect of simple rules:

We are all motivated to create a welcoming and collaborative environment. We treat everyone with respect. Healthy debates are fair but it is always necessary to behave with kindness.
Everyone must feel safe. No form of bullying is allowed and humiliating comments about race, religion, culture, sexual orientation, gender or identity will be deprecated.

Community Manager. They are Members of Planet whose main objective is to stimulate the creation of smart communities through the insertion or approval of content. In addition, they involve other members in sustainable economic and ecological behavior and actions.

Consumption. By providing Planet with the consent to process your sensitive data, you also authorize the request of data by Planet from third-parties that already own and manage your data, thus allowing us to show you your utilities consumption in real time, and therefore help you to reduce your usage. At any time, you can ask to limit, exclude, or not to make data referable to you. Therefore, Planet will no longer show you your consumption!

Parental Control. Parental control protections (such as hardware, software, or computer filtering services) can help you restrict access to malicious or inappropriate material for minors.

Restrictions by our Licensors. Some information and services available through Planet are licensed by third parties with third-party terms and conditions.

Use of our app. If you download and install the Planet app, we grant you a limited, non-transferable license to use and access your Planet account through your iOS or Android product; additional conditions may apply from the site from which you download the app (Apple App Store or Google Play store) or from the manufacturer of your device or software.

Limitation of liability. To the fullest extent permitted by applicable law, we and our suppliers will not be liable for any loss of profits or for special, incidental or consequential damages (however originating, including negligence) arising from or in connection with Planet, including Planet services, our software, your use of Planet, or this contract. In any case, the above does not exclude or limit the liability of Planet for malice or gross negligence.

Additional dispute resolution conditions for members of the European Union: If you are a member of the European Union, you have the right to file a complaint through the European Commission’s Online Dispute Resolution platform via the following link: http://ec.europa.eu/odr

Integration. This Contract constitutes the entire agreement between you and us respectively to our Services and supersedes any other agreement or understanding (oral or written). We may modify this contract and any other additional conditions by communicating changes (for example, by sending you an e-mail or posting the change notification in the neighborhood news feed). If you continue to use Planet after the entry into force of the change, you accept and are bound to the new conditions: if you do not agree with the new conditions, you should stop using Planet and cancel your account.

No guarantee. To the maximum extent permitted by applicable law, Planet and related software and services are provided “as is”. We do not guarantee that every aspect of our software or service will function properly or continuously. We may add, change or discontinue certain features of the product; if you are not satisfied, your only remedy is to stop using Planet or the function involved. In any case, the above does not exclude or limit the liability of Planet for acts or omissions characterized by intent or gross negligence and / or for any other case where the law of your jurisdiction does not allow us to do so.

Compensation. If you take legal action against Planet (whether against the company or against its employees, administrators or officials) based on damage caused by you, you agree to reimburse us for any costs we will incur to defend against such action, including legal fees and damages.

Disputes between members: renunciation of actions against Planet. In the real world and online, if you have a discussion or controversy with another Planet member, hopefully you can solve it amicably. In any case, if you do not succeed, please understand that Planet is not responsible for the actions of its members; each member is responsible for their actions and behaviors, either using Planet or speaking over a fence. Consequently, to the fullest extent permitted by applicable law, we exonerate (us and our officers, directors, agents, subsidiaries, joint ventures and employees) from actions, claims and damages (current and consequential) of any type and nature, known and unknown, arising from or in any other way connected to such disputes.

General. This contract does not give rise to the creation of agency, partnership, joint venture, joint control, employment or franchise agreements. To the extent permitted by applicable law, the Italian version of this Contract is binding and the other translations are for convenience only. Any non-applicable part of this contract will be executed to the maximum extent possible and the remaining parts will still be fully effective. Failure to exercise our rights under certain circumstances does not constitute a waiver of our right to act in relation to that or other circumstances. We will be justified for any problem due to circumstances beyond our reasonable control.
